Terms of Use

Thank you for your interest in ThoroBid AI Inc., (“ThoroBid AI,” “we,” “us,” or “our”), our website located at https://www.thorobid.ai (the “Site”), and any associated websites and subdomains, applications, and services (collectively, the “Service”). This Terms of Use Agreement (“Terms”) is a legally binding contract between you and ThoroBid AI.

By registering for an account or otherwise accessing or using the Service, or any portion thereof, you acknowledge and agree that you have read, understand, and agree to be bound by these Terms. These Terms are in addition to any other agreement you may have with us. In the event of a conflict between these Terms and the terms of another agreement, the terms of the other agreement shall control.

ARBITRATION NOTICE:

SECTION 12 CONTAINS A MANDATORY ARBITRATION PROVISION AND CLASS-ACTION WAIVER, WHICH REQUIRES YOU AND THOROBID TO RESOLVE MOST DISPUTES AND CLAIMS BY BINDING, INDIVIDUAL ARBITRATION AND NOT BY MEANS OF A CLASS ARBITRATION, A CLASS ACTION, ANY OTHER KIND OF REPRESENTATIVE PROCEEDING, OR A JURY TRIAL.

Eligibility

This is a contract between you and ThoroBid AI. You must read and agree to these Terms before using the Service. The Service is only available to residents of the United States and is only intended for use in the United States. Any access to, or use of, the Service by non-U.S. residents is strictly prohibited.

Any use or access to the Service by anyone under 18 is strictly prohibited and in violation of these Terms.

1. Accounts

1.1. Account Creation

In order to use most features of the Service, you must register for an account (“Account”). You promise that all required registration information you submit is truthful and accurate, and you will maintain the accuracy of such information.

1.2. Account Responsibilities

You are responsible for all activities that occur under your Account. You may not share your Account with anyone. You agree that you shall not have more than one Account at any given time.

2. Access to the Service

Subject to these Terms, ThoroBid AI grants you a non-exclusive, revocable, limited, non-transferable, non-assignable, and “as is” right to use and access the features and functionality of the Service solely for your own personal, non-commercial use.

3. Intellectual Property Rights

You acknowledge that we or our suppliers own all right, title, and interest, including all intellectual property rights, in and to the Service. ThoroBid AI and all related graphics, logos, service marks and trade names are the trademarks of ThoroBid AI.

7. User Conduct

As a condition of your use of the Service, you agree not to use the Service for any purpose that is prohibited by these Terms or by applicable law. You shall not:

  • submit to our Service information that is false, inaccurate, tampered with, adjusted, or otherwise manipulated;
  • infringe any patent, trademark, trade secret, copyright, right of publicity or other right of any person or entity;
  • take any action that is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane;
  • impersonate any person or entity, including any employee or representative of ThoroBid AI;
  • interfere with or attempt to interfere with the proper functioning of the Service;
  • engage in any potentially harmful acts that are directed against the Service.

8. Indemnification

You agree to indemnify and hold ThoroBid AI, its officers, employees, agents, partners, suppliers and licensors harmless, including costs and attorneys’ fees, from any loss, claim, or demand arising out of: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of applicable laws or regulations; or (iv) your violation of any rights of any third party.

9. DISCLAIMERS

NO WARRANTIES.

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS, AND THOROBID AI EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

10. LIMITATION ON LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THOROBID AI BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

11. Term and Termination

If you want to terminate these Terms, you may do so by closing your Account. Please contact [email protected]

12. Dispute Resolution

In the event of a dispute, the parties may seek to resolve the matter through informal negotiations for approximately 30 days prior to considering arbitration. If unresolved, disputes will be handled through binding arbitration.

Arbitration Agreement

You agree that any dispute, claim or request for relief relating in any way to your access or use of the Site, to the Service, or to any aspect of your relationship with ThoroBid AI, will be resolved by binding arbitration, rather than in court.

13. General

13.8. Governing Law and Venue

These Terms will be governed by the laws of the state of Delaware. Both you and ThoroBid AI agree that all claims and disputes arising out of or relating to these Terms will be handled exclusively in the state or federal courts located in Maricopa County, Arizona.
